RM8 billion pharmacy group heads for Bursa Malaysia
Big Caring Group Bhd has launched an initial public offering worth about RM2.03 billion at a maximum price of RM1.08 a share, with RM570.8 million earmarked to repay bank borrowings within three months of its planned November 19, 2026 listing. The operator of BIG Pharmacy and CARiNG Pharmacy would enter Bursa Malaysia's Main Market with a market value of about RM8 billion.

The offer, launched on October 29, combines new shares raising RM637.8 million for the company with existing shares expected to bring selling shareholders about RM1.4 billion. That means roughly 31% of the money raised will go to Big Caring itself, while approximately 69% will go to shareholders selling part of their holdings.
Retail applications close at 5pm on November 5. The proposed debut would make Big Caring Malaysia's second-largest listing of 2026 by market value at the IPO price, behind Sunway Healthcare Holdings Bhd, which entered the market in March at RM16.68 billion.
Big Caring brings a network of 668 outlets and annual revenue of RM4 billion to investors. Its immediate financial priority is reducing borrowings, which stood at RM1.7 billion at the end of August, following acquisitions that expanded the group beyond its original pharmacy business.
Where the IPO money will go
Big Caring is issuing 590.5 million new shares, alongside an offer for sale of approximately 1.3 billion existing shares. Together, the shares offered represent about 25.5% of its enlarged share capital. A new share brings money into the company; an existing share changes hands, with the payment going to its current owner.
The company plans to use 89.5% of its RM637.8 million gross proceeds, or RM570.8 million, to repay borrowings. Another RM30 million, equivalent to about 4.7%, is allocated to a distribution centre in Klang. Approximately RM37.1 million will cover listing expenses.
The planned repayment equals roughly one third of the RM1.7 billion borrowing balance recorded at the end of August. Applied to that balance alone, it would leave about RM1.13 billion, before allowing for subsequent borrowing, repayments or other movements.
Borrowing repayment is scheduled within three months of listing, while the distribution centre investment is planned within 36 months. The timetable gives investors two concrete measures to follow after trading begins: how quickly debt falls and how the logistics project progresses.
Acquisitions built the network and the debt
Big Caring's borrowing reflects a series of purchases that brought pharmacy chains, pharmaceutical distribution and physiotherapy services into the same group. Its stated acquisition costs include RM888.3 million for Caring Pharmacy from 7-Eleven Malaysia Holdings Bhd in 2023, RM249.4 million for distributor Medispec and RM32.8 million for a controlling stake in Your Physio.
The Caring transaction was also described at a deal value of RM850 million, compared with the RM888.3 million acquisition cost cited in the financing account. The Medispec purchase covered an 89.3% stake, while the Your Physio investment bought 57.1%.
An earlier financing snapshot put borrowings at RM1.3 billion on January 31, 2026. The average annual interest cost was 5.2% as of June 30, 2025. Those figures help explain the focus on repayment: money used to service loans is money unavailable for other business needs or shareholder distributions.
Big Caring plans to reduce both revolving credit and term loans. Revolving credit allows a business to borrow, repay and borrow again within an agreed limit, while a term loan is repaid over a set period. The company expects repayment to reduce interest expenses and give it more financial room for expansion.
Revenue reaches RM4 billion as profit rises
Big Caring recorded net profit of RM231.8 million for the financial year ended June 30, 2026, up more than 62% from RM143.02 million a year earlier. Revenue reached RM4 billion, compared with RM3.41 billion in the previous financial year.
The longer view shows how much the business has expanded. Revenue rose from RM1.1 billion in the financial year ended June 2023 to RM4 billion in 2026, while net profit increased from RM41.2 million to RM231.8 million. Across those three years, revenue became about 3.6 times larger and profit about 5.6 times larger.
Profit also grew faster than sales. Using those figures, net profit represented about 5.8% of revenue in 2026, compared with about 3.7% in 2023. In simple terms, the group retained a larger portion of each ringgit of sales as profit.
Growth came through both acquisitions and the existing business. Sales at comparable stores increased 9.6% in the financial year ended June 2025, up from 7.3% in 2024. This measure follows sales at established outlets, helping readers distinguish growth within the existing network from sales added by newly opened or acquired locations.
What the RM8 billion valuation means
Big Caring's indicative RM8 billion market value is based on approximately 7.4 billion shares after the offering and the maximum IPO price of RM1.08. Market value is the price investors collectively place on all the company's shares, rather than the amount of cash the company receives from the listing.
Dividing RM8 billion by the reported financial year 2026 net profit of RM231.8 million gives a price-to-earnings ratio of about 34.5 times, assuming that profit is attributable to shareholders. The IPO has also been described as carrying a trailing earnings multiple of about 42 times; the earnings basis behind that higher figure was not specified.
A price-to-earnings ratio compares a company's share value with its annual profit. At 34.5 times, investors are paying roughly RM34.50 for every RM1 of annual earnings used in the calculation. Future earnings growth, financing costs and the price investors are willing to pay will all matter to subsequent share performance.
By listing value, Big Caring would be about 48% the size of Sunway Healthcare's RM16.68 billion debut and approximately 3.1 times MTT Shipping and Logistics Bhd's RM2.58 billion April listing. These comparisons explain its place among Malaysia's 2026 IPOs, while the businesses operate in different industries.
More outlets need more distribution capacity
Big Caring added 58 outlets during the financial year ended June 2026 and another 12 in the three months to September 30. Its 668 outlets operate under six brands: BIG Pharmacy, CARiNG Pharmacy, Georgetown Pharmacy, Wellings Pharmacy, Ting Pharmacy and iCare Pharmacy. The group held a stated market share of 24.2% at the end of September.
The expansion plan outlined during the draft IPO stage called for 40 to 50 new outlets annually over the following three to five years. At that pace, the group would need to supply a steadily larger network with medicines, healthcare products and other stock.
Big Caring's existing Bukit Raja distribution facility was operating at 80.2% utilisation on September 30, 2026. The planned Klang centre is intended to support the growing network, with automation for incoming goods handling and pallet storage included in the earlier development plan.
Distribution capacity matters to everyday pharmacy operations. A larger store network needs sufficient storage and reliable deliveries to keep products available. Big Caring's RM30 million allocation connects the IPO directly to the infrastructure needed to supply its outlets.
Founders sell shares while retaining substantial holdings
Managing director and chief executive Lee Meng Chuan and executive director Lim Sin Yin, both trained pharmacists, opened their first outlet in Damansara Uptown in 2006. The husband and wife subsequently expanded through new stores and acquisitions, including combinations with RedCap Pharmacy in 2018 and My Pharmacy in 2019.
Lee linked the group's growth prospects to changes in healthcare demand when speaking at the prospectus launch.
"Changing demographics, greater health awareness and demand for accessible healthcare continue to drive growth in our industry," Lee said.
More than a dozen existing shareholders are selling part of their investments through the IPO, including the founders through their joint investment vehicle and private equity firm Creador. The draft structure indicated that the founders' indirect holding through Uptown Paradise would fall from 42.9% to 34.4%, with Lee and Lim retaining direct holdings of 7.3% and 3.7%, respectively, after dilution.
Creador's holding through Iris Pallida was set to decline from 33.7% to 19.4% under the draft structure. It could fall further to 16.3% if an option allowing additional shares to be sold for price stabilisation were fully exercised. These were the ownership projections disclosed at the draft stage.
Cornerstone investors and a conditional dividend target
Nineteen cornerstone investors have agreed to buy a combined 665.5 million shares. Cornerstone investors commit to purchasing shares before a listing, giving an offering an established base of demand before trading starts.
The named investors include International Finance Corporation, the World Bank Group's private sector arm, alongside Aberdeen, AHAM Asset Management, JPMorgan Asset Management, Principal Asset Management and First Sentier Investors. Their combined allocation represents roughly 35% of the approximately 1.9 billion shares offered.
Big Caring is targeting dividend payments of up to 50% of net profit attributable to owners. The actual amount will depend on cash availability, debt, investment needs and other financial considerations. For shareholders, the phrase "up to" means the company has set a ceiling for its intended payout rather than a fixed annual payment.
Maybank Investment Bank, RHB Investment Bank and AmInvestment Bank are joint principal advisers and global coordinators. Maybank and RHB also serve as joint managing underwriters. UBS Securities Malaysia and UBS AG's Singapore branch are among the global coordinators and bookrunners responsible for arranging investor demand and the share allocation process.
Who can apply and the dates to follow
The retail offering comprises about 267.6 million shares. Of these, 147.6 million are reserved for the Malaysian public, divided equally between Bumiputera and non-Bumiputera applicants. The equal split gives each category an allocation of 73.8 million shares.
Another 120 million shares are reserved for eligible directors, employees and people who have contributed to the group's development. Approximately 1.6 billion shares are allocated to institutional investors, which include investment funds and other large buyers.
The offering also brings the CARiNG Pharmacy business back towards the public market within a larger group. CARiNG was listed in November 2013 and delisted in May 2020 following its takeover by 7-Eleven Malaysia. BIG Pharmacy acquired the business in 2023.
