SK hynix Finishes ₩40 Trillion Buyback Early as Investors Await October 28 Return Plan

A major buyer steps out of the market

SK hynix completed a share buyback worth about ₩40 trillion on October 21, roughly a month before its November 19 deadline, bringing an unusually large source of buying demand in South Korean semiconductor shares to an end. The company had planned to acquire 24.07 million shares, about 3.3% of its issued stock, and cancel every share purchased.

The completion follows Samsung Electronics' acquisition of about ₩15 trillion of its own shares. Together, the two programs represented roughly ₩55 trillion in purchases, absorbing shares as foreign investors and other holders sold. Attention now turns to SK hynix's October 28 earnings presentation, when further shareholder returns are expected to be announced.

SK hynix's buyback and cancellation announcement puts the program at approximately ₩40 trillion; a smaller figure of about ₩4.00434 trillion also appeared in coverage of the transaction. The announced quantity of 24.07 million shares, multiplied by the reference price of ₩1,662,000, gives ₩40.00434 trillion, consistent with the company's stated scale.

The company describes the planned cancellation as the largest by a listed South Korean company. Its significance extends beyond size: SK hynix is also seeking to return at least 50% of cumulative free cash flow to shareholders during its 2025–2027 policy period, replacing an earlier commitment framed as within 50%.

How the purchases finished ahead of schedule

SK hynix's board approved the acquisition and cancellation on August 19. Purchases began on August 20 and were scheduled to continue until November 19, leaving approximately three months to complete the program. The company finished on October 21, after about two months of buying.

The main dates show how quickly the purchases by both chipmakers took place:

  • August 19: SK hynix's board approved its share purchase and cancellation plan.
  • August 20: SK hynix began buying shares.
  • August 24: Samsung Electronics began its approximately ₩15 trillion program.
  • October 6: Samsung Electronics completed purchases of 56.85 million shares.
  • October 21: SK hynix completed its buyback.
  • October 28: SK hynix is scheduled to release third quarter results and provide further shareholder return details.
  • November 19: The original deadline for SK hynix's purchases.

Completing the purchases early brings forward the end of the buying program. Investors now face the next stage: the planned cancellation of the acquired shares and the board's decisions on further distributions. A cancellation date and the final acquisition cost were not specified in the completion details.

What cancelling 24.07 million shares changes

SK hynix had 730,492,365 issued shares when it set out the plan. Buying and cancelling 24.07 million would reduce that number to approximately 706.42 million, assuming no other changes to issued shares. The reduction is about 3.3%.

A share represents a small ownership stake in a company. When a company buys shares from investors, those sellers receive cash. Cancelling the purchased shares then removes them permanently, leaving the remaining shareholders with a larger percentage of the business.

An investor who keeps the same number of shares would therefore hold an ownership percentage about 3.4% larger after this cancellation, assuming everything else stays unchanged. The percentage increase is slightly greater than 3.3% because ownership is then measured against a smaller total number of shares.

Cancellation also changes the arithmetic behind earnings per share, a measure that divides profit among shares. With fewer shares, the same amount of profit produces a higher figure per share. Future profits, spending needs and the price investors are willing to pay still influence the investment's value.

SK hynix chose this route because, according to its announcement, its share price did not sufficiently reflect its business competitiveness, ability to generate cash or prospects for growth. Buying its own stock commits company money to that assessment while distributing cash to investors who sell.

Who sold while SK hynix bought?

Foreign investors recorded net sales of ₩27.6805 trillion in SK hynix shares from August 20 through October 20. Individual investors sold a net ₩8.3072 trillion, while institutional investors sold a net ₩3.1302 trillion. Together, those three groups recorded net sales of ₩39.1179 trillion.

Net sales measure the amount sold minus the amount bought within an investor category. Foreign investors accounted for about 71% of the combined net selling by those three groups, making them the largest source of selling during the period.

Other corporations recorded net purchases of ₩39.1714 trillion over the same interval. SK hynix's direct purchases of its own shares were approximately ₩39.4269 trillion. Those closely matched figures show how large the company's buying was alongside the selling by foreign, individual and institutional investors.

The company was purchasing shares on a scale comparable with the combined net sales of all three investor groups. That demand helped absorb shares coming onto the market. With the program finished, sellers seeking to exit will need buyers elsewhere in the market.

Samsung's completion adds to the change

Samsung Electronics bought 56.85 million shares for approximately ₩15 trillion between August 24 and October 6. SK hynix completed its own program 15 days later, ending a period when both companies had been making substantial purchases of their shares.

The two programs together amounted to roughly ₩55 trillion. SK hynix accounted for about 73% of that combined amount, using the announced ₩40 trillion and ₩15 trillion program sizes. Its completion therefore removed the larger of the two sources of corporate buying.

The ₩55 trillion was spent across the purchase periods. The immediate market change is that both scheduled programs have now stopped buying. If foreign investors continue selling, demand from other investors will determine how readily those shares find purchasers and at what prices.

SK hynix's October 28 announcement matters in that setting. Another repurchase would create direct demand for shares, while a cash dividend would distribute money to shareholders without the company buying stock in the market. Both return money to investors, but they work differently.

A larger commitment to shareholders

SK hynix first announced its 2025–2027 shareholder return policy in November 2024. That policy provided for returns within 50% of cumulative free cash flow and allowed the company to consider distributions before the policy period ended if cash generation increased substantially.

The revised ambition is to return at least 50% of cumulative free cash flow over the same period. Moving from within 50% to at least 50% changes the direction of the commitment: a figure previously used as a limit becomes the minimum share the company aims to distribute.

Free cash flow, often shortened to FCF, generally means cash generated by operations after spending on long lasting assets such as factories and equipment. A chipmaker can report a large profit while also spending heavily on production capacity, so this measure helps connect shareholder distributions to the cash available after investment.

The policy covers cumulative cash flow across 2025–2027 rather than a fixed proportion of each quarter's accounting profit. For a simple illustration, every ₩100 of cumulative free cash flow would correspond to at least ₩50 in intended shareholder returns under the revised approach.

SK hynix plans to combine share purchases and cancellations with cash dividends. It is considering larger dividends, including fixed and special dividends. A fixed dividend provides a recurring payment under a company's policy, while a special dividend is an additional distribution approved for a particular occasion.

The cash position behind the decision

SK hynix cited approximately ₩69 trillion in net cash at the end of the second quarter as evidence of stronger finances. Net cash generally compares cash holdings with debt, giving investors a view of the company's financial cushion after borrowing is taken into account.

The approximately ₩40 trillion buyback is equivalent to about 58% of that reported net cash figure. The comparison shows the scale of the commitment, while the eventual cash balance will also reflect money earned, investment spending, dividends and other payments during the period.

Reported second quarter revenue was ₩79.3187 trillion, with operating profit of ₩60.5426 trillion. SK hynix linked its decision to record business performance and its position in artificial intelligence memory, saying its capacity to generate cash had improved substantially.

The company also said progress toward its financial health targets allowed it to pursue shareholder returns while maintaining a stable financial structure. For shareholders, the practical balance is between receiving more money now and retaining funds for the factories, equipment and product development on which future earnings depend.

What investors will watch on October 28

SK hynix is scheduled to present third quarter results on October 28. The company has said further shareholder return amounts and methods will be announced at that presentation after a board resolution, taking account of cash flow, market conditions and profits legally available for distribution.

The August announcement showed how closely investors were watching those decisions. On August 19, the shares closed at ₩1.5 million, down 9.75%, before rising above ₩1.6 million in trading after the regular session following the disclosure. The regular closing price was almost 50% below the June 25 high of ₩2.987 million.

The next announcement will give investors more detail on how SK hynix intends to meet its increased return commitment. The central choices are further share purchases, larger cash dividends or a combination of both, alongside the planned cancellation of the shares already acquired.
